1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TradeQuote ("we", "our", or "us") regarding your use of our AI-powered quote generation platform and related services (the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Description of Service

TradeQuote provides an AI-powered platform that helps Australian trade professionals generate quotes from floor plans and project documents. Our Service includes:

• AI-powered analysis of uploaded floor plans and documents
• Automated quote generation with material and labor calculations
• Professional PDF quote exports
• Project management and quote tracking tools
• Customer support and training resources

3. User Accounts and Registration

To use our Service, you must:

• Be at least 18 years old and capable of entering into a legally binding agreement
• Provide accurate, current, and complete information during registration
• Maintain and update your account information as necessary
• Be responsible for maintaining the confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer multiple subscription plans with different features and quote limits. Current plans include:

• Starter: $29/month - Up to 20 quotes per month
• Business: $49/month - Up to 50 quotes per month
• Pro: $129/month - Unlimited quotes

4.2 Free Trial

We offer a 30-day free trial for new users. No credit card is required to start your trial. After your trial period expires, you must select a paid plan to continue using the Service.

4.3 Billing and Payment

Subscription fees are billed monthly in advance. All prices are in Australian Dollars (AUD) and include GST where applicable. Payment is processed automatically using your chosen payment method.

4.4 Refunds

We offer refunds in accordance with Australian Consumer Law. Please contact us if you believe you are entitled to a refund.

5. Acceptable Use

You agree not to use the Service to:

• Upload illegal, harmful, or infringing content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any unlawful purpose
• Share your account credentials with unauthorized third parties
• Reverse engineer or attempt to extract our AI algorithms
• Use the Service to compete with TradeQuote

6. User Content and Data

You retain ownership of all content and data you upload to our Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, store, and analyze your content solely for the purpose of providing our Service.

You represent and warrant that you have the right to upload User Content and that it does not violate any third-party rights or applicable laws.

We may delete User Content that violates these Terms or applicable laws. We are not responsible for the loss of User Content, and we recommend maintaining your own backups.

7. Intellectual Property

The Service, including all software, algorithms, trademarks, and content (excluding User Content), is owned by TradeQuote and protected by Australian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. This license terminates when your subscription ends or these Terms are terminated.

8. Service Availability and Modifications

We strive to maintain high service availability but cannot guarantee that the Service will be available 100% of the time. We may perform maintenance, updates, or modifications that temporarily interrupt the Service.

We reserve the right to modify or discontinue features of the Service with reasonable notice to users.

9. AI Quote Accuracy and User Responsibility

9.1 AI Limitations and Accuracy

Our AI system analyzes uploaded floor plans, documents, and project specifications to generate quotes. However, we do not guarantee the accuracy of AI-generated content. The AI may:

• Misinterpret floor plans, dimensions, or project specifications
• Make incorrect assumptions about materials, quantities, or labor requirements
• Fail to identify all project components or requirements
• Apply incorrect pricing or calculation methods
• Miss important project details or special requirements

9.2 User Responsibility for Quote Verification

You are solely responsible for verifying the accuracy of all AI-generated quotes. Before using any quote for business purposes, you must:

• Carefully review all measurements, quantities, and specifications
• Verify that all materials and components are correctly identified
• Confirm that labor estimates align with actual project requirements
• Check that pricing reflects current market rates and your business costs
• Ensure compliance with relevant building codes and regulations
• Conduct your own site inspection and assessment when applicable

9.3 Professional Judgment Required

AI-generated quotes are tools to assist your quoting process, not replace professional judgment. You must apply your expertise and experience to:

• Assess project complexity and potential challenges
• Adjust estimates based on site conditions and access
• Include appropriate contingencies and risk factors
• Ensure quotes align with your business practices and standards

Recommendation: Always treat AI-generated quotes as draft estimates that require professional review and validation before presenting to clients or committing to project costs.

10. Limitation of Liability

To the maximum extent permitted by Australian law, TradeQuote shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability to you for any claims relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Important: Nothing in these Terms excludes, restricts, or modifies any consumer guarantees or rights you may have under the Australian Consumer Law or other applicable laws that cannot be excluded, restricted, or modified.

11. Termination

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

We may suspend or terminate your account if you violate these Terms or engage in behavior that harms our Service or other users.

Upon termination, you will lose access to the Service and any data stored within it. We recommend exporting any important data before cancellation.

12. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

13. Governing Law and Disputes

These Terms are governed by the laws of Australia and the state or territory where TradeQuote operates. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

We encourage you to contact us first to resolve any disputes. If a dispute cannot be resolved directly, you may be entitled to use alternative dispute resolution services.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.
